NON-DISCLOSURE AGREEMENT
Effective upon token validation between AIGOV.consulting O.Ü. ("Disclosing Party") and the token holder ("Receiving Party").
1. Confidential Information
The Receiving Party acknowledges that all materials, data, financial projections, technology descriptions, business strategies, client information, and any other information accessible through the AISUS.agency Virtual Data Room (the "Data Room") constitute strictly confidential and proprietary information ("Confidential Information") of the Disclosing Party.
2. Obligations
The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose, reproduce, or distribute any Confidential Information to any third party without prior written consent of the Disclosing Party; (c) use the Confidential Information solely for the purpose of evaluating a potential investment in AIGOV.consulting O.Ü.; (d) limit access to Confidential Information to those individuals within the Receiving Party's organisation who have a strict need to know for the stated purpose.
3. Prohibited Use
The Receiving Party shall not use any Confidential Information for competitive purposes, reverse engineering, or any purpose other than investment evaluation. Any unauthorised use or disclosure shall constitute a material breach of this Agreement.
4. Term
This Agreement shall remain in effect for a period of five (5) years from the date of first access, or until the Confidential Information enters the public domain through no fault of the Receiving Party.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona.
6. Electronic Acceptance
By checking the acceptance box below and entering the Data Room, the Receiving Party acknowledges that such action constitutes a valid and binding electronic signature to this Non-Disclosure Agreement, with the same legal force as a handwritten signature.
